Особливості функціонування акціонерних товариств в Україні: проблеми та перспективи розвитку

Abstract

UK: У статті визначено та проаналізовано основні аспекти та напрями розвитку акціонерних товариств в Україні. Наведено позитивні та негативні фактори функціонування цієї організаційно-правової форми господарювання. Розглянуто механізми державного регулювання діяльності акціонерних товариств в умовах адаптації до встановлених вимог законодавства, а також запропоновано основні напрями вдосконалення та реорганізації функціонування акціонерних товариств. Проаналізовано особливості функціонування акціонерних товариств різних форм власності. З’ясовано, що діяльність акціонерного товариства, яке зареєстроване в Україні як юридична особа, відносини між акціонерним товариством та акціонерами, а також між акціонерами акціонерного товариства щодо діяльності останнього регулюються виключно законами та іншими нормативно-правовими актами України.

RU: В статье определены и проанализированы основные аспекты и направления развития акционерных обществ в Украине. Приведены положительные и отрицательные факторы функционирования этой организационно-правовой формы хозяйствования. Рассмотрены механизмы государственного регулирования деятельности акционерных обществ в условиях адаптации к установленным требованиям законодательства, а также предложены основные направления совершенствования и реорганизации функционирования акционерных обществ. Было обнаружено теоретические основы исследования акционерной собственности и определено ее место в современной экономике. Проанализированы особенности функционирования акционерных обществ разных форм собственности. Выяснено, что деятельность акционерного общества, которое зарегистрировано в Украине как юридическое лицо, отношения между акционерным обществом и акционерами, а также между акционерами акционерного общества по поводу деятельности последнего регулируются исключительно законами и другими нормативно-правовыми актами Украины.

EN: The article defines and analyzes the main aspects and areas of development of joint stock companies in Ukraine. The advantages and disadvantages of functioning of this organizational-legal form of management are presented. The mechanisms of state regulation of joint-stock companies’ activity in conditions of adaptation to the established requirements of the legislation are considered, as well as the main directions of perfection and reorganization of functioning of joint-stock companies are offered. The theoretical foundations of the research of joint-stock ownership were identified and its place in the modern economy was determined. The analysis of peculiarities of functioning of joint stock companies of various forms of ownership is carried out. It was clarified that the activity of a joint-stock company, registered in Ukraine as a legal entity, relations between a joint-stock company and shareholders, as well as between shareholders of a joint-stock company on the latter’s activities, are regulated exclusively by laws and other normative-legal acts of Ukraine. The subject of researching is to create a strategy for the development of jointstock companies in Ukraine. The purpose of research is to analyze the dynamics and structure of financial and economic activity of joint stock companies, to identify trends in their changes to determine the impact of negative factors on the development of economic and financial results of joint activities – stock companies with state share. To investigate the changes in the size of the Charter, the size of the minimum wage, to consider the difficulties of listing listed companies and the number of issue shares of stock exchanges. Determine the changes in the regulatory framework that affect the majority and minority shareholders of these companies, the requirements for protecting the owners of ordinary shares. Investigate the amount of taxes paid to the budget of the largest Ukrainian companies, identify problems and propose possible solutions. The base of the problem of the existence of joint-stock companies today, the reduction of their number implies political and economic transformations in Ukraine, a clean reorganization into their structure, a revision of the private ownership of the public, and a decrease in activity on the securities market.
