Шляхи підвищення результативності операцій злиття і поглинання для вітчизняного бізнес-середовища

Abstract

UK: Стаття присвячена шляхам підвищення результативності операцій злиття та поглинання для вітчизняного бізнес-середовища. Встановлено, що трансформацію глобальних ринків M&A у 2015-2025 рр. зумовили три драйвери: цифрова технології, зростаюча регуляторна складність та інституціоналізація ESG. Запропоновано шляхи гармонізації нормативно-правового регулювання вдосконалення здійснення операцій злиття та поглинання. З’ясована тенденція щодо зниження обсягів операцій злиття та поглинання в період 2022-2024 рр. на загальноєвропейському ринку. Визначено каталізатори для операцій злиття та поглинань в Європі, зокрема: енергетичний перехід, перехід в автомобільній індустрії, цифрові компетенції, сприятливі економічні умови. Зроблено висновок, щодо впливу операцій злиття та поглинань на економічну ефективність підприємств, який може відображатись на фінансових показниках компанії безпосередньо або опосередковано. Підкреслено, що операції злиття та поглинання можуть стати потужним інструментом для підвищення ефективності діяльності підприємств України.

EN: The article is devoted to ways to increase the effectiveness of mergers and acquisitions for the domestic business environment. It is established that the transformation of global M&A markets in 2015-2025 was caused by three drivers: digital technology, increasing regulatory complexity and institutionalization of ESG. It is established that the Ukrainian market of mergers and acquisitions is an integral part of the pan-European market, however, the regulatory and legal regulation of mergers and acquisitions in Ukraine and the European Union has significant differences. Ways are proposed to harmonize regulatory and legal regulation, improve antitrust regulation, protect the rights of minority shareholders, disclosure standards, and protect foreign investments. A number of rules are proposed to increase the success of the impact of mergers and acquisitions on increasing the efficiency of domestic business entities. 12 key principles of successful integration are proposed, which will allow companies to avoid typical pitfalls and ensure successful integration. The trend of a decrease in the volume of mergers and acquisitions in the period 2022-2024 on the pan-European market is clarified. Catalysts for mergers and acquisitions in Europe are identified, in particular: energy transition, transition in the automotive industry, digital competencies, favorable economic conditions. A conclusion is drawn regarding the impact of mergers and acquisitions on the economic efficiency of enterprises, which may be reflected in the company's financial indicators directly or indirectly. It is emphasized that mergers and acquisitions can become a powerful tool for solving the problems of attracting financing for post-war reconstruction and economic recovery, attracting the human resources of international companies to ensure sustainable development, as well as attracting innovations and new technologies. It has been established that mergers and acquisitions affect the economic efficiency of enterprises. This impact can be reflected in the company's financial performance directly or indirectly. It is emphasized that mergers and acquisitions can become a powerful tool for improving the efficiency of Ukrainian enterprises.
